Buy-side mandates

When you need someone working your side of the table.

A buy-side mandate is the engagement where we work for you. We source acquisitions off-market inside buying groups and franchise systems, where the operators you want are concentrated and not for sale in public. The work is built around how you buy.

We represent the buyer here.

Deal-flow access is a look. A mandate is representation. When you retain us, we are your advocate, we run the search on your thesis, and we do not also represent the seller on a deal we are sourcing for you.

Our edge is origination inside the network. The businesses that fit your thesis are often held inside a buying group or a franchise system, by owners who are not publicly for sale and who transact through people they trust. That is where we already are.

How we source, on your behalf.

01

Define the thesis

Sector, size, structure, geography, and what a good acquisition looks like for you. We scope the mandate to a defined target and a defined network focus.

02

Map the universe

We turn the relevant networks into a known target list rather than a cold-call list. Inside a closed system, the universe of fitting operators is knowable.

03

Originate off-market

We approach owners directly, often before they have decided to sell, through relationships already inside the network. Most of these owners never run a public process.

04

Run the process

We qualify for fit, willingness, and whether the business actually transfers, then carry valuation, structure, and the owner relationship through to a signed letter.

05

Clear the friction

Transfer approval, right of first refusal, supplier and rebate contracts, network standing. We know each system, so the path that stops outsiders does not stop you.

06

Close and transition

Through to ownership, with the network intact and the relationships that make the business work carried across the table.

Tailored to how you buy.

Every kind of buyer needs something different from a sourcing engagement. Choose the one that fits.

The supply is inside the network.

The operators every one of these buyers wants tend to sit inside a buying group or a franchise system. They are fragmented, cash-generative, and rarely for sale in public, and they transact through trusted intermediaries.

That makes a closed network the right hunting ground for a single-platform search and a programmatic roll-up alike. We are already inside it, which is why we can originate off-market rather than bid in auctions.

Retained and selective.

We take a small number of buy-side mandates at a time, so each one gets real origination effort rather than a name on a list. A mandate is scoped to a defined thesis and a defined network focus, with terms set at the outset.

If you are not ready to retain a mandate, deal-flow access is the lighter path. Register your criteria and you are in the pool we call when a transition fits, with no retainer and no exclusivity.

Put us on your side of the table.

Tell us your thesis and the networks you want into. We will scope what a mandate would look like, and whether deal-flow access is the better place to start.

Confidential. Mandates are scoped and quoted before any work begins.
